Terms of Service

Who's Down IRL™ (“Who's Down IRL”, “we”, “us”) is a technology platform operated by RQ Custom Designs LLC. It helps adults discover, communicate with, and make plans with other adults for social activities, platonic friendships, group gatherings, public meetups and similar real-life experiences.

Who's Down IRL™ is not a dating service and is not intended for romantic or sexual matchmaking.

The intended use of the platform is platonic social connection. We cannot control or guarantee what any individual personally feels toward another person, but soliciting members for romantic or sexual encounters is not permitted (see Acceptable Use).

We provide the software. We do not organize, supervise, staff, sponsor or attend the activities members create.

You must be at least 18 years old to use Who’s Down IRL™.

To hold an active membership you must also:

• provide your real legal first and last name;
• use an email address you control, and confirm it;
• verify a working phone number;
• complete required profile information, including a clear photo of yourself;
• complete identity verification when required by current platform rules;
• accept these Terms and acknowledge the Privacy Policy, Community Guidelines and Safety Center.

Registration asks for your date of birth to determine eligibility. If you are under 18 we will not create an active member profile and you may not access member features. Attempting to falsify your age or eligibility is a violation of these Terms.

You are responsible for:

• providing accurate, current information;
• keeping your login credentials private;
• all activity that occurs under your account;
• not impersonating another person or creating a fake identity;
• maintaining one account per person;
• promptly telling us if you believe someone else has accessed your account;
• keeping your eligibility information accurate.

Depending on current platform requirements, membership may involve email verification, phone verification and identity verification through Stripe Identity. Details are in the Verification Policy.

Identity verification currently carries a one-time Identity Verification Fee of $2.00, disclosed before you begin the paid transaction. It is not a membership fee.

Verification is one part of our safety system and does not replace personal judgment or safe meetup practices. It is not a criminal background check and is not an endorsement of any member.

We do not perform criminal background checks, and nothing on the platform should be read as a statement that we have done so.

Your profile must be truthful. You agree not to:

• use photos that are not of you, or that are heavily misleading;
• impersonate another person, brand or organization;
• post sexual, violent, hateful or illegal content;
• use your profile primarily for advertising, recruiting or solicitation;
• include another person's private information;
• misrepresent your age, identity, location or intentions.

The following are prohibited on and through Who’s Down IRL™:

• harassment, bullying, threats, intimidation and stalking;
• discrimination or hate-based conduct;
• unwanted sexual behavior, sexual solicitation and sexual exploitation;
• human trafficking, coercion and predatory behavior;
• violence, weapons-related threats and extortion;
• scams, fraud, phishing, spam and malicious links;
• impersonation and fake accounts;
• doxxing or sharing another member's private information;
• soliciting or coordinating illegal activity;
• manipulating or bypassing verification, blocking or safety systems;
• creating a new account after suspension or removal;
• any other abusive, dangerous or unlawful activity.

Who's Down IRL™ exists for friendship, company, shared interests, community and appropriate networking. It is not positioned as a dating or hookup platform, and hangouts must not be used as disguised dating or sexual solicitations.

Sexually explicit content, propositions and persistent romantic pressure are violations, whether they happen in a profile, a hangout description, a group chat or in person.

Members may create, host, join and attend real-world activities. Hangouts must take place in public, lawful venues. Private residences, hotel rooms and private vehicles are not appropriate meeting locations for Who's Down IRL™ activities.

Our role: we provide discovery, messaging and safety tooling. Host role: hosts describe the plan truthfully and follow the Event Host Policy. Attendee role: attendees decide for themselves whether to attend and are responsible for their own transportation, belongings, choices and conduct.

Every member is responsible for exercising reasonable judgment before, during and after meeting another member.

A host is a member, not an employee, agent or representative of Who’s Down IRL™. Hosts must:

• be 18+ with an eligible account;
• provide truthful event details, times and locations;
• choose lawful, public, reasonably safe locations and activities;
• follow applicable laws and venue rules;
• disclose material costs attendees are expected to cover;
• not misrepresent the purpose of an event;
• not knowingly facilitate prohibited conduct;
• respect attendee boundaries and respond appropriately to safety concerns.

Who’s Down IRL™ cannot:

• supervise or attend meetups;
• continuously monitor members' behavior or history;
• guarantee any member's honesty, character or intentions;
• guarantee venue safety, compatibility or event quality;
• prevent every harmful act.

Meeting people you first encountered online involves inherent risk. By using the platform you accept responsibility for your own decisions, including whom you meet, where you meet them, and what you choose to share. Practical guidance is in the Safety Center.

If you or someone else is in immediate danger, contact local emergency services. Our support team is not an emergency service.

Joining Who's Down IRL™ is free. The charges that may apply are described in the Payment, Subscription & Refund Policy and currently consist of the one-time $2.00 Identity Verification Fee, and — where the feature is enabled for your account — an optional host subscription.

Prices, billing frequency, renewal terms, cancellation steps and refund rules are shown before you complete any purchase. Applicable taxes may be added at checkout. Payments are processed by Stripe; we do not store full payment card details.

The $2.00 identity-verification fee is separate from membership and is generally non-refundable once the Stripe Identity verification process has been initiated, because verification processing costs may already have been incurred. Exceptions may be made for duplicate or incorrect charges, technical billing errors attributable to the platform, or where a refund is required by law. Paying the verification fee does not guarantee successful verification.

You keep ownership of the content you submit — profile text, photos, hangout descriptions, messages and other media. You grant Who's Down IRL™ a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, adapt for display and distribute that content solely to operate, secure, support and improve the platform, and to comply with law. This licence ends when the content is deleted, except for copies retained for security, legal or safety reasons.

You are responsible for having the rights to everything you upload, and for keeping other people's private information out of it.

The Who's Down IRL™ name, logo, branding, software, interface, designs, original graphics and proprietary features belong to RQ Custom Designs LLC or its licensors and may not be copied, imitated or used without written permission. See the Intellectual Property & Copyright Policy.

We may review reports and, depending on what the available information supports, take no action, issue a warning, restrict features, remove content, cancel a hangout, suspend an account, permanently ban an account, preserve relevant records where legally appropriate, or cooperate with lawful requests from authorities.

We do not promise that every report results in removal, and we do not disclose another member's account details to reporters. Details are in the Reporting, Blocking & Enforcement Policy.

You may stop using Who's Down IRL™ at any time and may request account deletion from your profile settings or through Support.

We may suspend or terminate an account that violates these Terms or our policies, that creates risk to members, or where required by law. Where member safety is at risk we may act without prior notice.

The platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that the service will be uninterrupted, error-free or that any member, hangout or venue will meet your expectations. Some jurisdictions do not allow certain disclaimers, in which case they apply only as far as the law permits.

To the fullest extent permitted by applicable law, RQ Custom Designs LLC and its owners, employees and contractors are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or data, arising from your use of the platform or from any interaction with another member. Where liability cannot be excluded, our total aggregate liability is limited to the greater of the amounts you paid us in the twelve months before the claim or one hundred U.S. dollars. Nothing in these Terms limits liability that cannot lawfully be limited.

To the extent permitted by law, you agree to indemnify and hold harmless RQ Custom Designs LLC from claims, damages, losses and reasonable legal costs arising out of your content, your conduct, your interactions with other members, hangouts you host or attend, or your breach of these Terms or applicable law.

If a dispute arises, please contact us first — most issues can be resolved informally and quickly. We ask that you give us thirty days to work through a complaint before starting a formal proceeding.

If informal resolution does not work, either party may bring the dispute before a court of competent jurisdiction under the governing-law provision below. Who’s Down IRL™ has not adopted mandatory arbitration or a class-action waiver.

No binding arbitration provision or class-action waiver has been adopted. If the business chooses that structure, it must be added deliberately and reviewed by counsel.

These Terms are governed by the laws of the state in which RQ Custom Designs LLC, the company operating Who’s Down IRL™, is organized, without regard to conflict-of-laws rules. [OWNER REVIEW REQUIRED: confirm this is Illinois, United States before publication.]

We may update these Terms as the platform grows. The effective date and version are shown at the top of this page. For material changes we will provide notice in the app or by email, and we may ask you to accept the updated Terms before continuing to use member features. Continued use after an update means you accept the revised Terms.
